Result of Extraordinary General Meeting

Manganese Bronze Holdings plc is pleased to announce that the resolution to approve the joint venture with Chinese car manufacturer Geely Automobile Holdings Limited (‘Geely’) and its associates together with the related issue of new ordinary shares (‘New Ordinary Shares’), which was proposed at the Extraordinary General Meeting (‘EGM’) of the Company, held this morning, was duly passed.

Two copies of the ordinary resolution passed at the EGM have been submitted to the UK Listing Authority, and will shortly be available for inspection at the UK Listing Authority's Document Viewing Facility, which is situated at:

In addition to the shareholder approval obtained at today’s EGM, the establishment of the joint venture is also reliant, inter alia, on the approval of the shareholders of Geely and the necessary regulatory approvals in the People’s Republic of China.

Application will be made for the New Ordinary Shares to be admitted to the Official List of the UK Listing Authority and to be admitted to trading on the London Stock Exchange’s  main market for listed securities. It is expected that such admissions will become effective and that dealings in the New Ordinary Shares will commence no later than the end of June 2007.
