Employee Share Ownership Trust

Manganese Bronze Holdings PLC (“the Company”) advises that it received notification on 20 April 2006 from Mourant & Co. Trustees Limited, the trustee of the Company’s Employee Share Ownership Trust (“the ESOT”), that the trustee had purchased 20,000 shares at £2.25 each.  The ESOT now holds 155,196 of the Company’s ordinary shares representing 0.82% of the Company’s issued share capital.

This notification is made under section 3.1.4R of the Disclosure Rules as the Executive Directors of the Company and other persons discharging managerial responsibility are potential beneficiaries of the ESOT.
